These Terms govern your use of sail-private.com. The voyages themselves are governed by their own contracts — signed by the Ringleader and any participating Voyagers — and where that voyage contract addresses the same subject, it controls.
These Terms are an agreement between you and Sail Private Inc., a Delaware corporation (“Sail Private,” “we,” “us”). Please read them before using the site.
1Who can use the site
You must be 18 or older to use the site. By using it, you confirm that you are, that the information you provide is accurate, and that any consents you give are your own to give.
2What Sail Private is — and isn’t
Sail Private organizes and supports private group voyages. We curate the ship, the itinerary, and a portal for the Ringleader and their network. We are not the operator of any vessel. We do not own the ships, employ the crew, or command the bridge. Operational responsibility for the voyage rests with the vessel operator and, where applicable, the Ringleader.
The site is a way to learn about voyages, apply to become a Ringleader, accept an invitation as a Voyager, and manage related logistics. Bookings, payments, refunds, cancellations, and the terms of the voyage itself are set out in the voyage contract signed for that voyage. Nothing on this site — including descriptions, photographs, draft itineraries, or AI-generated previews — is itself an offer, quote, or contract for a voyage.
3Roles
Ringleader. A Ringleader proposes or organizes a voyage and invites their network. The Ringleader’s relationship with Sail Private is governed by a separate Ringleader agreement covering responsibilities, revenue, deposits, and timelines. Ringleaders are responsible for the accuracy of what they tell their network about a voyage.
Voyager. A Voyager accepts a Ringleader’s invitation to a voyage. The Voyager’s voyage-specific terms are set by the voyage contract signed at booking. The Voyager’s relationship to Sail Private is otherwise limited to the use of the site and any portal we host.
4Accounts and access
Most of the site is open. Some pages — for example, a voyage portal — are token-gated or require a magic-link sign-in. You are responsible for keeping links and credentials issued to you to yourself. Tell us promptly if you believe a token, link, or session has been misused.
5Submissions and AI previews
The site may let you submit information — a Ringleader application, a contact-form message, an RSVP, or a prompt for an AI-generated voyage preview. We use those submissions to operate the site, evaluate the request, and contact you.
AI-generated voyage previews are produced using third-party AI services and are illustrative only. They are not itineraries, quotes, prices, or commitments.
You agree not to submit content that is unlawful, infringing, threatening, deceptive, or otherwise inappropriate.
6Intellectual property
The site, its text, photography, branding, and design are owned by Sail Private or licensed to us. You may view and share links to the site for personal, non-commercial purposes. You may not copy, scrape, or republish the site or its content without our written permission. The Sail Private and Ringleader names and marks are ours.
If you submit content to the site, you keep ownership of it. You grant Sail Private a non-exclusive, royalty-free, worldwide license to use, host, and display that content for the purpose of operating the site and any voyage in which you participate.
7Acceptable use
You agree not to:
- attempt to access parts of the site you have not been authorized to access;
- probe, scan, or test the vulnerability of the site without our prior written consent;
- impersonate any person or entity, or misrepresent your affiliation;
- interfere with other users or the operation of the site;
- collect personal information from the site through automated means; or
- use the site to send unsolicited communications.
8Third-party services
We rely on third-party providers for parts of the site, including email delivery, AI generation, DNS and edge security, analytics, and (where Sail Private bills a voyage) payment processing. Their use of information is governed by their own terms and policies. The site may link to external sites; we are not responsible for their content or practices.
9Disclaimers
The site is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Sail Private disclaims all warranties, express or implied, including fitness for a particular purpose, merchantability, accuracy, non-infringement, and uninterrupted operation.
Voyages are operated by third-party vessel operators. Sail Private is not the carrier, the crew employer, the captain, the medical provider, or the insurer. Voyage-specific risks, releases, insurance requirements, and waivers are addressed in the voyage contract.
10Limitation of liability
To the maximum extent permitted by law, Sail Private and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of your use of the site. Our total liability for any claim arising out of or relating to these Terms or the site will not exceed one hundred U.S. dollars (US$100), except where a separate Ringleader agreement or voyage contract specifies a different limit for that subject matter.
11Indemnification
You agree to defend, indemnify, and hold harmless Sail Private from claims, damages, and reasonable attorneys’ fees arising from your breach of these Terms, your misuse of the site, or your violation of any law or third-party right.
12Dispute resolution — arbitration and class action waiver
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the site (a “Dispute”) will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules in effect at the time the Dispute is filed. The arbitration will be held in Wilmington, Delaware, or by telephone or video at the AAA’s option, before a single arbitrator. The arbitrator’s decision is final.
Class action waiver. You and Sail Private agree to bring any Dispute only on an individual basis. Neither party may bring a Dispute as a class, collective, mass, or representative action. The arbitrator may not consolidate the claims of more than one person.
Exceptions. Either party may bring an individual claim in small-claims court if it qualifies, and either party may seek injunctive relief in court for misuse of intellectual property, confidential information, or site security.
Opt-out. You may opt out of this arbitration agreement by emailing [email protected] within 30 days of first agreeing to these Terms, with the subject line “Arbitration Opt-Out” and your full name and the email address associated with your use of the site. Opting out does not affect any other part of these Terms.
Survival. This section survives termination of these Terms and your use of the site.
13Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Subject to the arbitration provision above, the state and federal courts located in Wilmington, Delaware have exclusive jurisdiction over any Dispute that is not subject to arbitration.
14Termination
We may suspend or end your access to the site at any time, with or without notice, including for breach of these Terms. You may stop using the site at any time. Sections that by their nature should survive — including intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law — survive termination.
15Changes to the Terms
We may update these Terms from time to time. We will post the updated version with a new effective date. If a change is material, we will take reasonable steps to notify you, for example by email or a notice on the site. Your continued use of the site after the effective date constitutes acceptance.
16Miscellaneous
These Terms are the entire agreement between you and Sail Private about the site. If any provision is unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may. These Terms do not create a partnership, agency, or employment relationship.
